4. Payment Terms

Payment terms are specified in individual service agreements. Standard terms include:

• Advance payment or partial payment may be required
• Invoices are due within 30 days unless otherwise specified
• Late payments may incur interest charges
• All fees are exclusive of applicable taxes
• Refunds are subject to our refund policy

5. Intellectual Property

Company Property

All content, designs, strategies, and materials created by Wit&Wire Media remain our property until full payment is received, unless otherwise agreed in writing.

Client Property

You retain ownership of materials you provide to us. You grant us a license to use these materials solely for the purpose of providing our services.

Third-Party Rights

You warrant that any materials you provide do not infringe on third-party intellectual property rights.

6. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the course of business. This obligation survives termination of services.

While we strive for exceptional results, we cannot guarantee specific outcomes in marketing and advertising campaigns due to factors beyond our control, including but not limited to:

• Market conditions and competition
• Platform algorithm changes
• Consumer behavior and preferences
• Product or service quality
• Budget limitations

8. Limitation of Liability

To the maximum extent permitted by law, Wit&Wire Media Pvt Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues.

Our total liability shall not exceed the amount paid by you for the specific service that gave rise to the claim.

9. Indemnification

You agree to indemnify and hold harmless Wit&Wire Media Pvt Ltd, its officers, directors, employees, and agents from any claims, damages, or expenses arising from:

10. Termination

Either party may terminate services with written notice as specified in individual service agreements. Upon termination:

• All outstanding fees become immediately due
• We will provide any completed work upon full payment

11. Dispute Resolution

Any disputes arising from these Terms shall be resolved through good faith negotiations. If unsuccessful, disputes shall be subject to arbitration in Mumbai, Maharashtra, India, in accordance with the Arbitration and Conciliation Act, 2015.

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.
